TAX PLANNING & PREPARATION - Arthur S. Lazarus, CPA - HOLLYWOOD, FL

Tax Planning for Business Owners Who Want to Stop Overpaying

Most business owners only think about taxes in April, and by then the decisions that would have lowered the bill are already behind them. Tax planning for business owners works differently: it's a year-round relationship with a CPA who reviews your entity structure, tracks deductions as they happen, and tells you your tax number in July instead of March. You file on time either way. The difference is whether anyone was watching before the filing deadline, or only after.

Difference

What Is the Difference Between Tax Planning and Tax Preparation?

Tax preparation is filing an accurate return for a year that's already over. Tax planning is everything that happens before that - entity structure, deduction timing, retirement and owner-pay decisions, quarterly estimates - that determines what the return actually says. A preparer records what happened. A tax planning engagement tries to change what happens next, while there's still time to act on it. Most business owners only get the first one. Arthur S. Lazarus, CPA builds both into a single engagement.

The Problem

Why Business Owners Overpay Tax

You work hard for every dollar the business brings in. Most of what gets overpaid at tax time isn't from doing anything wrong - it's from nobody looking at the numbers early enough to change the outcome.

1

Filing Is Not Planning

A tax return reports what already happened. If nobody's reviewing your numbers between filings, every decision that affects this year's tax bill gets locked in before you ever see the forms. By the time your return is due, the only thing left to do is report the outcome, not improve it.

2

Missed Deductions

Vehicle use, home office, equipment purchases, and section 179 elections all come with specific documentation rules. Skip the paperwork during the year and you lose the deduction at filing time, even when your business genuinely qualifies for it. This is one of the most common - and most avoidable - sources of overpayment we see.

3

The Wrong Entity

A lot of profitable small businesses are still filing as a sole proprietor or a default LLC years after an S-corp election would have lowered their payroll tax exposure. That gap compounds every year it's left unreviewed - see the S-corp section below for what it actually looks like.

What You Get

Business Tax Planning Strategy: Built & Managed All Year

We don't wait for tax season. Your plan starts with a full review of your books, entity, and goals, then becomes a year-round plan:

Entity review & S-corp election check

Quarterly tax numbers, no cash flow surprises

Retirement & owner-pay planning

Equipment purchase & write-off timing

Multi-state filing support

Federal & state returns filed on time, including 1040, 1120, 1120-S, 1065, state and local, and gift & estate returns

S-Corp Election

How an S-Corp Election Can Lower Payroll Tax

As a sole proprietor, all net earnings face self-employment tax. Elect S-corp status, and only your W-2 salary is subject to payroll tax, distributions beyond that generally aren't, which is where the savings come from.

However, your salary must be reasonable for the work you do. There's no fixed formula, the IRS weighs duties, training, and time devoted. Set it too low, and distributions can be reclassified as wages, with penalties attached.

Is It Time to Elect S-Corp Status?

When should I switch to an S-corp?

This is one of the highest-impact decisions in S-corp tax planning, and one of the easiest to get the timing wrong on. The election itself is filed on IRS Form 2553, and the deadline catches a lot of business owners off guard: two months and fifteen days after the start of the tax year you want the election to apply to. For a calendar-year business, that works out to around March 15. Miss it, and you're generally waiting until the following year for it to take effect. There's some late-election relief available under IRS Revenue Procedure 2013-30 if you have reasonable cause, but it's not something to count on.

S Corp Tax Planning

When S-Corp Status Doesn't Make Sense

S-corp status adds real costs: running payroll, filing Form 1120-S, issuing a W-2, and documenting reasonable salary. If profit isn't well beyond that salary, savings can be eaten by admin costs. Eligibility is also capped: 100 shareholders, one stock class, U.S. shareholders only. This needs an actual review, not a rule of thumb.

Our Process

Tax Planning for Businesses

Annual Tax Projection

Through structured quarterly tax planning, we project your tax bill early in the year, based on your actual numbers, so you know what to set aside and can still act on it while there's time left to make a difference.

Deduction Review

As part of our tax planning for business owners, we go through your books line by line and flag every deduction and credit you're actually entitled to claim - not a generic checklist, your specific numbers.

Return Preparation

We prepare your federal and state returns, review them carefully before anything is filed, and e-file on your behalf once you've signed off.

Quarterly Check-Ins

A short call each quarter keeps the plan current as your sales, staffing, or spending change - tax planning only works if it gets revisited, not set once and forgotten.

IRS Notice Support

If a letter shows up from the IRS or the Florida Department of Revenue, send it to us. We respond on your behalf and handle it from there, including more serious matters like liens, levies, or penalty abatement.

Owner Pay Review

We help set a reasonable salary and distribution mix for owner-employees - the number that holds up under IRS review and keeps your payroll tax exposure in check.

Who We Help

Trades & Builders

Job costing gets messy fast when materials, labor, and equipment purchases all hit at different times. We track write-offs by job and time equipment purchases against your actual cash flow.

Clinics & Practices

Staff pay is usually the single largest cost in a practice. We review owner compensation and build a structure that keeps good staff without creating a tax problem.

Restaurants & Retail

Thin margins, tip reporting, sales tax, and inventory all complicate a return most software can't handle cleanly. We keep those pieces reconciled so nothing gets missed at filing time.

Tech & Agencies

Billing clients across state lines can create tax obligations in places you didn't expect. We track where you actually owe and file every required return on time.

Real Estate Owners

Depreciation, cost segregation studies, and passive activity loss rules all affect how much of your rental income is actually taxable. We plan around them, not just report them.

New Startups

The entity structure you pick in year one can save (or cost) real money for years afterward. For business owners who are just starting out, getting this decision right from the start matters more than fixing it later.

Not sure you fit? The first call is free either way, and we'll point you in the right direction even if that's not us. You can also see our Small Business Accounting Services and Bookkeeping pages.

Common Mistakes

Common Tax Planning Mistakes We See in South Florida Businesses

Owner Salary Never Revisited

An S-corp salary set once, three years ago, and never updated as the business grew is one of the more common things we find in a first-year review - and one of the easier things to fix.

Seasonal Cash Flow Mistaken for a Tax Problem

South Florida's tourism- and hospitality-heavy business cycle means revenue swings by season. Without a tax projection built around that pattern, a strong Q4 can trigger a much bigger estimated payment than an owner expected.

Multi-State Exposure Nobody Flagged

Selling to or hiring remote staff outside Florida can create a tax filing obligation in another state, well before most owners realize it's happened.

Equipment Purchases Timed Wrong

Buying a truck or major equipment in January instead of December (or vice versa) can shift a deduction into a year where it's worth meaningfully less to you.

No One Reviewing Between Filings

The single most common pattern: a return gets filed accurately every year, but nobody looks at the numbers in between - which is exactly when the decisions that lower next year's bill actually get made.

Estimated Payments Set and Forgotte

Quarterly estimated taxes for business owners aren't a one-time calculation, they need adjusting as revenue changes throughout the year. Quarterly estimated taxes are due April 15, June 15, September 15, and January 15 - but a business set on autopilot after year one often keeps paying last year's number even as revenue changes.

What Documents You'll Need

Tax Planning for Business Owners

Getting a tax planning engagement started is faster with a few things ready ahead of your first consultation:

Last two years of business tax returns

Current financial statements or bookkeeping file (P&L and Balance Sheet, if available)

Entity documents - Articles of Incorporation/Organization, any prior S-corp election (Form 2553), operating agreement

Payroll records, if you have employees or pay yourself a salary

Any IRS or state tax notices received in the past two years

If you don't have all of this organized yet, that's fine - a lot of new clients don't. We'll help sort out what's missing as part of the initial review.

Frequently Asked Questions

When should I start tax planning?

The earlier we start, the more moves are still available to you - even a mid-year start can change what you owe this year, though a full year of planning gives you the most room to work with.

Do you work with businesses outside Florida?

Based in Hollywood, FL, we serve local South Florida businesses as well as clients nationwide virtually. Arthur is a CPA licensed in both Florida and Maryland.

What does tax planning cost for a small business?

It depends on your entity structure, number of states involved, and whether you need ongoing quarterly check-ins or a one-time entity review. We quote a flat fee after an initial consultation, not an hourly rate.

Can you fix a return someone else filed?

Yes - amended returns are something our Fort Lauderdale tax preparation team handles regularly, including cases where a missed deduction or an incorrect entity election on a prior return can still be corrected.

How do I know if I should elect S-corp status?

It generally starts to make sense once your business is consistently profitable well beyond what a reasonable salary for your role would be, since that's where the payroll tax savings start to outweigh the added payroll and filing costs. See the S-Corp section above, or book a free consultation for a specific answer on your numbers.

What documents do I need for tax planning?

At minimum, your last two years of business tax returns and current financial statements. See the full checklist above - we'll help fill in anything you don't have on hand yet.
